This website is owned and operated by Third Sector New England, Inc. on behalf of itself and its fiscally sponsored organization The Foodshed Network (collectively referred to herein as “TSNE” or “our, we, or us”). As a user of this website and any service, tools, and/or resources it provides, you agree to be bound by these Terms and Conditions of Purchase (these “Terms”):

AGREEMENT. These Terms constitute the entire agreement between you and TSNE and governs your use of this website and The Foodshed Network’s ("TFN") Services (as defined below), and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and TSNE with respect to TFN. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the website or TFN’s Services. These Terms may be modified at any time by TSNE upon posting of the modified Agreement. Any such modifications shall be effective immediately and will supersede all previous versions. You can view the most recent version of these Terms at any time at Terms of Use. Your continued use of this website after any changes have been made to these Terms signifies and confirms your acceptance of any such changes or amendments to these Terms. Each use by you shall constitute and be deemed your unconditional acceptance of these Terms.

INTENDED AUDIENCE. This website is intended for individuals who are at least eighteen (18) years of age. It is not intended for children under eighteen (18). By using this website, you represent and warrant that you meet these eligibility requirements.

PRIVACY. Your use of our site and TFN’s Services is also governed by our Privacy Policy. Please review our Privacy Policy at Privacy Policy. Your use of Shopify’s website is governed by their Privacy Policy found at Shopify's Privacy Policy.
DESCRIPTION OF SERVICES. TFN operates a Community Supported Agriculture (“CSA”) program whereby TFN will be selling boxes of farm fresh produce purchased from farms local to Connecticut to those who wish to support the local farming community (“Services”). Upon your purchase of a food box, you will receive an email confirming your purchase, order number, and instructions for picking up your food box.

CANCELLATION. TSNE reserves the right to refuse or cancel any order at its discretion, limit quantities, and correct pricing errors. TSNE may terminate this agreement or the Services at any time, with or without notice, for any reason. If you wish to cancel your subscription or food box order, please email ali@thefoodshednetwork.org with your name, order number, and request for cancellation. Your cancellation is subject to the refund policy outlined herein.

PAYMENTS. When you make a purchase, (i) you agree to pay the price for such product or service, including any applicable taxes, and (ii) authorize our third-party payment processors to charge your applicable payment method for the amount of such purchase. You represent and warrant that all information you provide with regard to a payment on the Services, including your credit card, PayPal, bank account or other payment information, is accurate, current, and complete, and that you have the legal right to use the payment method you provide to our payment processor. All payments must be made in U.S. Dollars. All fees and charges are payable in accordance with the payment terms in effect at the time the fee or the charge becomes payable. We do not view or store your credit card or other payment information. To learn more about our credit card processing vendors and their respective privacy and other policies which apply when you make a payment through their services, please review the policies on their websites.

REFUND POLICY. You understand that once you have purchased your food box, you are not entitled to a refund unless TSNE is unable to deliver your pre-paid food box on the designated day and time. Any approved refunds will be issued to the original payment method used for the purchase. You acknowledge that you are accepting the farm-fresh produce as-is. We do not accept returns of purchased and picked-up food boxes. If you fail to pick up your food box for any reason not attributable to TSNE, you are not entitled to a refund and your box will be donated.

To collect your food box, you must provide your name and the confirmation number sent to you by TFN. If you are unable to pick up your share, you must arrange for someone else to pick it up on your behalf. You are responsible for informing your substitute of the pickup location and procedures. If neither you nor your substitute picks up the food box at the designated time, you forfeit your right to the box and will not receive a refund. You assume all responsibility for your food box upon receipt. TSNE reserves the right to change the pickup location and shall alert you ahead of pickup to said change.

FOOD SUBSTITUTION POLICY. You understand that you are participating in a CSA program and that the availability of certain produce is reliant on the crop yield of local farmers. As such, the food boxes are sold as-is and TSNE will not make any substitutions.

ALLERGEN INFORMATION. You understand, acknowledge and agree that while TSNE takes precautions to limit any cross-contamination, cross-contamination may occur between food products, and thus, your delivery may contain some or all of the nine major allergens listed by the US Food and Drug Administration: wheat, egg, soy, milk, tree nuts, peanuts, fish, shellfish, and sesame. You are also solely responsible for knowing about any food allergies you may have and verifying the products and their contents before handling, preparing, using or consuming such products. TSNE does not represent or warrant that the ingredient, allergen, and other product information on the website that you purchased the food box from is accurate or complete since this information is reliant on estimates as to what produce will be provided by the local farmers and suppliers. TSNE shall not be responsible for any allergic reaction you may have when handling, preparing, or consuming the products. We recommend that you contact TFN at ali@thefoodshednetwork.org if you have a specific dietary or allergic concern or question about a product.

FOOD PREPARATION. You should regularly review the USDA’s regulations for the safe handling and preparation of food which can be found in the following link: https://www.fsis.usda.gov/food-safety/safe-food-handling-and-preparation (hereinafter, the "USDA Guidelines"). Upon your receipt of your food boxes, consumption of the food boxes is solely at your own risk. Therefore, you are solely responsible for the adequate handling, storage, refrigeration, preparation (including storage, mixing, blending, and warming) and consumption of the farm fresh produce. You are subject to the limitations of liabilities and warranties described herein.

DEFECTS. If TSNE or any governmental authority reasonably determines that any product provided to you in connection with the Services is defective and a recall is necessary, you agree that, upon notice from TSNE or any governmental authority, you must destroy such product at your sole cost and risk. In addition, TSNE may suspend or cancel all subsequent orders of such product, in its sole discretion. TSNE shall have no responsibility or liability for any consumption or use of such product if you fail to destroy the product after receiving notice from TSNE or any governmental authority.

INTELLECTUAL PROPERTY. All content included as part of the website and/or the Services, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of TSNE or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, related to the Services without prior written permission from TSNE. Your use of this website and the Services does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of TSNE and the copyright owner. You agree that you do not acquire any ownership rights in any protected content in connection with your use of the website or the Services. We do not grant you any licenses, express or implied, to the intellectual property of TSNE or our licensors except as expressly authorized by these Terms.

ACCEPTABLE USE. You agree to comply with all applicable local, state, and federal laws regarding your use of the website. You further agree that information provided by you is truthful and accurate to the best of your knowledge. You agree not to use the site for unlawful purposes, interfere with site security, or attempt unauthorized access. TSNE may terminate access at its discretion.

ELECTRONIC COMMUNICATIONS. By using the Services, you consent to receive electronic communications from TSNE and TFN, including transactional emails and notices.

LIMITATION OF LIABILITY. IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO TSNE. THE COMMONWEALTH OF MASSACHUSETTS MAY NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

YOU ARE SOLELY RESPONSIBLE FOR, AND ASSUME ALL RISKS RELATED TO, THE PROPER AND SAFE PREPARATION (INCLUDING STORAGE, MIXING, BLENDING, AND WARMING), USE, AND CONSUMPTION OF THE CONTENTS OF THE FOOD BOXES. AS SUCH, ALL CONTENTS OF THE RESPECTIVE MEALS ARE PROVIDED "AS-IS" AND "AS AVAILABLE," AND, TO THE FULLEST EXTENT ALLOWABLE UNDER THE APPLICABLE LAW, ALL EXPRESS AND IMPLIED WARRANTIES ARE DISCLAIMED.

INDEMNIFICATION. You agree to indemnify, defend and hold harmless TSNE, its officers, directors, employees, agents and third-parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of (1) your access to, use of, alleged use of, or inability to use the Services, (2) your violation of any (i) rights of any third-party, including, without limitation, any intellectual property right, publicity, confidentiality, property or privacy right, or (ii) applicable laws, rules or regulations, (3) any disputes or issues between you and any third-party including, but not limited to, our suppliers or third-party service providers, or (4) any content that you provide, upload, submit, or send to TSNE.

TSNE reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with TSNE in asserting any available defenses.
FORCE MAJEURE. TSNE shall not be liable for any failure or delay in performing its obligations caused by events beyond the reasonable control of the affected Party (“Force Majeure Event”), including but not limited to: acts of God, drought, flood, pandemics, epidemics, animal disease, excessive rainfall, storm, hurricane, tornado, fire, freeze, frost, pest infestation, plant disease, crop disease, governmental action, war, terrorism, labor disputes, supply chain disruptions, crop yield, or any other similar cause beyond the reasonable control of TSNE prior to the pickup of the food boxes.
USE OF INFORMATION. TSNE reserves the right, and you authorize us, to use and assign all information regarding site uses by you and all information provided by you in any manner consistent with our Privacy Policy. Further, TSNE reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

GOVERNING LAW. These Terms are governed by, and are to be interpreted and enforced in accordance with, the laws of the Commonwealth of Massachusetts without giving effect to any choice of law or conflict of laws rules or provisions.

DISPUTE RESOLUTION. If a dispute arises under this Agreement, the parties will first try to resolve it through mediation with JAMS. Either party can start mediation by sending a written request to JAMS and the other party. The parties will work together to choose a mediator, participate in good faith, and split the costs equally. If the dispute is not resolved, it will be decided by binding arbitration through JAMS. Either party may start arbitration after the first mediation session or 45 days after requesting mediation, whichever comes first. Mediation may continue during arbitration if both Parties agree.

SEVERABILITY. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
WAIVER. The failure of TSNE or The Foodshed Network to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by TSNE must be in writing and signed by an authorized representative of TSNE.

SURVIVAL. Sections related to liability, indemnification, dispute resolution, and intellectual property survive termination.
RELATIONSHIP OF THE PARTIES. Nothing contained in these Terms or your use of the website or the Services shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.
